RodyWorks Web Hosting Terms and Conditions

1. Agreement

These Terms of Service (the "Terms") are a binding agreement between RodyWorks, LLC., a California limited liability company doing business as RodyWorks Web Hosting ("RodyWorks," "we," "us"), and the person or entity ordering or using our services ("you," the "Customer"). By creating an account, placing an order, or using any service, you accept these Terms. The Acceptable Use Policy, Service Level Agreement, Cancellation & Refund Policy, DMCA Policy, Domain Registration Agreement, and Privacy Policy are incorporated into these Terms by reference.

2. Services

RodyWorks provides web hosting (cPanel-based shared hosting on cloud infrastructure operated by Amazon Web Services), domain name registration services as a reseller of an ICANN-accredited registrar, and related services as described on our order pages. Plan resources are stated in plain numbers on each plan; we do not sell "unlimited" resources.

3. Eligibility and Account

You must be at least 18 years old and provide accurate, current contact and billing information, and keep it current. You are responsible for all activity under your account and for safeguarding your credentials. Notify us immediately at support@rodyworks.com of any suspected unauthorized use.

4. Fees, Billing, and Auto-Renewal

• Services are sold as recurring subscriptions (monthly or annual, as selected at checkout) and renew automatically at the end of each term until cancelled.
• Fees are charged in U.S. dollars to your selected payment method. You authorize recurring charges for renewals until you cancel.
• Prices may change with at least 30 days' notice; changes apply at your next renewal.
• You are responsible for applicable taxes.
• Domain registrations, renewals, and transfers are charged per-transaction and are non-refundable once submitted to the registry.

5. Term, Cancellation, Suspension, and Termination

• You may cancel any subscription at any time from the client area; cancellation stops future renewals and service continues to the end of the paid term. See the Cancellation & Refund Policy - there is no money-back guarantee and no prorated refunds.
• We may suspend or terminate services for non-payment, breach of these Terms or the Acceptable Use Policy, fraud, or where required to protect our network, other customers, or comply with law. Where practicable we will provide notice before suspension.
• Failed payment: services may be suspended after the invoice due date and terminated thereafter; termination may result in deletion of hosted data.

6. Your Data and Backups

You are solely responsible for your content and for maintaining your own independent backups. Any backups we operate are for platform disaster-recovery purposes and are not a substitute for your own. Following termination, we may retain your hosted data for up to 14 days, after which it may be permanently deleted; retrieval during that window may require an active, paid-up account.

7. Third-Party Services

The services depend on third-party providers, including Amazon Web Services (infrastructure), cPanel (control panel software), our upstream ICANN-accredited registrar (domains), and payment processors. We do not warrant third-party software or services; their availability and terms may affect the services.

8. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THE SLA, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND RODYWORKS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) RODYWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (b) RODYWORKS' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO RODYWORKS FOR THE AFFECTED SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. THE SLA'S SERVICE CREDITS ARE YOUR SOLE REMEDY FOR AVAILABILITY FAILURES.

10. Indemnification

You will defend, indemnify, and hold harmless RodyWorks and its members, officers, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your use of the services, or your breach of these Terms.

11. Chargebacks and Fraud

Contact us before disputing a charge. Chargebacks filed on properly invoiced services may result in suspension and a right to recover costs. Fraudulent orders will be terminated and may be reported to authorities.

12. Changes; Assignment; Force Majeure

We may update these Terms; material changes will be posted with an updated effective date, and continued use after the effective date constitutes acceptance. You may not assign your account without our consent; we may assign in connection with a merger or sale. Neither party is liable for delay or failure caused by events beyond reasonable control.

13. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflicts-of-law rules. The state and federal courts located in Santa Barbara County, California have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.
